Kit-Cat Klock® Dealer Policy

Maintain Authorized Dealer Status

Only sellers with a signed Dealer Policy and written approval from the California Clock Company (“CA CLOCK”) are considered Authorized. ONLY Kit-Cat Klocks® sold by an Authorized Dealer are considered “new” and have a valid warranty. A dealer violating any term within this policy may cause CA CLOCK to revoke the dealer’s status as an Authorized Dealer and all related rights including the use of CA CLOCK trademarks, copyrights, photography, and the warranty on all products sold.

Provide Accurate Dealer Information

You agree to complete this online Information Form accurately and thoroughly. Authorized Dealers expressly agree not to; wholesale, closeout, or transfer ownership of CA CLOCK products to other sellers, sell under different names not listed in the Information Form, or sell in any unapproved location. You agree to notify CA CLOCK of any significant changes to your information before your next order by email or via the Information Update Form: kit-cat.com/info-update

Follow the Kit-Cat Brand Guide

Kit-Cat has risen to the level of an icon, beloved and recognized around the world from TV, film, and fond memories. Kit-Cat Klock® is owned by California Clock Company and any uses of the Kit-Cat Brand must be authorized. Please note that the primary brand name is Kit-Cat Klock®. Any time the word “Clock” comes after “Kit-Cat”, it must be spelled with a “K” instead of a “C”. Kit-Cat and Kitty-Cat Klocks indicate different sizes. Kit-Cat Klocks are the original size; Kitty-Cat Klocks are the ¾ size version. Dealers agree to follow the full guidelines in CA CLOCK’s Brand Guide and promptly correct any known issue.

Shipping Rates & Options:

All product sales are FOB Origin (i.e. Ontario, CA USA). CA CLOCK makes every effort to negotiate and find the very best rates for CA CLOCK dealers. CA CLOCK enforces a case pack policy that optimizes ship cost efficiency. Due to CA CLOCK’s annual ship volume, CA CLOCK is able to provide Dealers access to aggressive shipping rates. However, if a Dealer prefers to ship on its own shipping account, that information must be provided with the PO. Due to safety considerations, CA CLOCK cannot approve any pickup of goods at CA CLOCK facility other than by a professional carrier. Unless requested by the Dealer, all shipments will ship with no additional insurance added. If Dealer would like to add insurance for the full value, or partial value, this must be indicated on the PO so that it can be included in the shipping cost. Any damage incurred during shipping is the responsibility of the Dealer to claim with the carrier or their own insurance policy. If Dealer would like to add a signature requirement to the shipment, this must be indicated on the PO so that it can be included in the shipping cost. International shipments are shipped delivery duty unpaid (DDU). Additional customs or duties may be applied to the Dealer. It is the Dealer’s responsibility to designate a safe location and pickup any shipment in a timely manner to reduce risk of theft. In the very rare instance of theft, the Dealer will be responsible to file the claim with the carrier and/or Dealer’s insurance.

Seller Guidelines and Restrictions:

Dealer is only authorized to sell Kit-Cat products in its physical store or through its branded ecommerce website. Dealer agrees to not sell through Amazon or related marketplaces without special written approval from CA CLOCK. Such a violation would result in the automatic revocation of Dealer’s authorized status, fines, legal action, and / or formal complaints issued via the related platform’s trademark infringement and fraud management departments.

Seller should not remove, change or damage any labels on the packaging or materials included inside the packaging.

The Kit-Cat Trademarks and copyrights remain the property of CA CLOCK and shall only be used appropriately as directed in the Kit-Cat Brand Guide and shall not misconstrue its affiliation with CA CLOCK in any way. Websites, brochures, ads, should be clear that Dealer is an authorized dealer, and not the manufacturer.

Minimum Advertised Price:

The MAP pricing for all CA CLOCK products (as indicated on all order forms during purchase) will be advertised for sale for no less than double the standard wholesale cost of the products, minus one penny (i.e. BC-1 @ $49.99). Products listed on the wholesale order form as Minimum Suggested Retail Price (MSRP) do not fall under MAP.

MAP applies to all advertisements of CA CLOCK products in any and all media, including but not limited to flyers, newspapers, magazines, email newsletters, Internet, and public signage. If pricing is displayed, any strike-through or other alteration of the Minimum Advertised Price is prohibited. Combining MAP CA CLOCK products with discounted non-CA CLOCK brand name products is considered a violation of MAP price unless specific written approval is received from CA CLOCK.

MAP is not applicable to any in-store advertising that is displayed only in the store and not distributed. MAP applies only to advertised prices and does not apply to the price at which the products are actually sold. CA CLOCK Dealers and sales representatives are allowed to sell for any price they choose within their retail location.

MAP does not establish a maximum advertised price.

General Terms:

CA CLOCK may revoke your Authorized Status in writing if it becomes aware of any activity in violation of these policies. CA CLOCK reserves the option to offer a limited amount of time to correct such a violation and restore your status. Fraudulent activity or intentional violation of any term in these policies will result in an automatic revocation of your Authorized Status even if CA Clock is not yet aware of such activity. By signing this agreement, Dealer agrees to be bound by the above terms and conditions and binds all of its employees, affiliates, and any approved resellers. Failure to adhere to the Dealer Policy may result in immediate termination of dealer rights to market and sell CA CLOCK products as an Authorized Dealer and the application of $500 fine(s) for each violation at CA CLOCK’s option. By signing this agreement, Dealer accepts such charges from CA CLOCK within 30 days of discovery and notice of a violation. Submission of all POs will be considered acceptance of these terms. In the event it becomes necessary for CA CLOCK to file suit to enforce this contract, such suit may be brought in Orange County, CA, at CA CLOCK ’s option, and CA CLOCK shall be entitled to reimbursement of its court costs, collection costs, and attorney’s fees. These Dealer Policies are established by CA CLOCK and may be adjusted at CA CLOCK’s sole discretion when necessary. CA CLOCK will properly notify Authorized Dealers of any updates.
