MAP Agreement - Kit-Cat Klock

In order to become an Authorized Kit-Cat Dealer, all re-sellers must agree to the Minimum Advertised Price Policy to protect the integrity and value of the licensed Kit-Cat Brand globally.

Any re-seller found in violation of the MAP Policy will have their status as an Authorized Dealer revoked immediately. The Kit-Cat Warranty is void if sold by any unauthorized dealer and all future orders to California Clock Company from unauthorized dealers will be denied.

Minimum Advertised Pricing Agreement

1. The MAPP pricing for CCC products (as indicated on all order forms during purchase) will be advertised for sale for no less than double the current regular wholesale cost of the products, minus one penny. Products listed on the order form as Minimum Suggested Retail Price (MSRP) do not fall under the MAPP policy.

2. MAPP policy applies to all advertisements of CCC products in any and all media, including but not limited to flyers, newspapers, magazines, email newsletters, Internet, and public signage. If pricing is displayed, any strike-through or other alteration of the Minimum Advertised Price is prohibited.

3. The MAPP is not applicable to any in-store advertising that is displayed only in the store and not distributed to any customer(s).

4. MAPP applies only to advertised prices and does not apply to the price at which the products are actually sold. CCC dealers and sales representatives are allowed to sell for any price they choose within their retail location or over the phone.

5. MAPP does not establish a maximum advertised price.

6. The Kit-Cat Trademarks and Copyrighted artwork remain the property of CCC and shall only be used appropriately or as directed and shall not misconstrue its affiliation with CCC in any way.

7. MAPP is established by CCC and may be adjusted at CCC’s sole discretion when necessary.

8. Intentional or repeated failure to adhere to the MAPP shall result in immediate termination of dealer rights to market and sell CCC products and the application of $500 fine(s) for each Product listing and/or each sold.

9. Combining MAPP CCC products with discounted non-CCC brand name products is considered a violation of MAPP price unless specific written approval is received from CCC. Only CCC products or approved non-CCC brand products (such as batteries) can be combined with MAPP Products, but are not encouraged.

By signing this agreement you agree to be bound by the above terms and conditions and bind all of your employees, affiliates, and resellers. In the event it becomes necessary for CCC to file suit to enforce this contract, such suit may be brought in Orange County, CA, at CCC’s option, and CCC shall be entitled to reimbursement of its court costs, collection costs, and attorney’s fees:
